2. Services Description
Semantic Intent provides AI-native legacy modernization consulting services through the Project Phoenix methodology, including:
- Phoenix Assessment — business logic extraction and requirements specification
- Phoenix Blueprint — solution architecture and implementation planning
- Phoenix Full Cycle — end-to-end greenfield rebuild and validation
- Strategic consulting on legacy modernization and technical debt
3. Consulting Engagements
Scope of Work
Each consulting engagement will be governed by a separate Statement of Work (SOW) or consulting agreement that defines:
- Specific deliverables and timeline
- Project scope and objectives
- Fees and payment terms
- Confidentiality requirements
- Intellectual property ownership
Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Grant reasonable access to personnel, systems, and codebase
- Respond to inquiries in a timely manner
- Review and approve deliverables as specified in SOW
- Participate in validation gates throughout the Phoenix pipeline
4. Intellectual Property
Phoenix Methodology
The Project Phoenix six-agent pipeline, Semantic Intent framework, and related intellectual property remain the property of Semantic Intent. Clients receive a license to use insights and recommendations from consulting engagements, but not the underlying methodologies themselves.
Deliverables & Work Product
Ownership of specific deliverables will be defined in each consulting agreement. Unless otherwise specified, clients own the final deliverables — including extracted business logic catalogs, architecture blueprints, and rebuilt codebases — while Semantic Intent retains ownership of general methodologies, frameworks, and agent pipelines used to create them.
5. Confidentiality
Both parties agree to maintain confidentiality of:
- Proprietary business information and source code
- Extracted business logic and requirements specifications
- Client data and strategic plans
- Project details, outcomes, and financial information
We may create anonymized case studies with client approval, where specific details are modified to protect client identity.
6. Disclaimers

- Results Not Guaranteed: Timelines and cost estimates represent typical engagements. Your results may vary based on system complexity, codebase size, and organizational factors.
- Professional Judgment Required: Our recommendations require professional judgment for implementation. We are not liable for implementation decisions.
- No Financial/Legal Advice: Our services do not constitute financial, legal, or accounting advice. Consult appropriate professionals for such matters.
7. Limitation of Liability
To the fullest extent permitted by law, Semantic Intent shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Client decisions based on our recommendations
- Third-party actions or market conditions beyond our control
Our total liability shall not exceed the fees paid for the specific engagement in question.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
12. Changes to Terms
We may update these terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the new terms.
